Terms of Service

These Terms of Service (“Terms”) form a binding legal agreement between you (“you”, “user”) and the operator of Verdikt (“Verdikt”, “we”, “us”, “our”), an individual proprietor based in Delhi, India, contactable at founder@verdiktresearch.com. By accessing, browsing, registering for, or paying for the website verdiktresearch.com and any associated applications, APIs, content, and services (collectively, the “Service”), you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, Disclaimer, and Refund Policy, each of which is incorporated by reference. If you do not agree, you must stop using the Service.

1. The Service is research, not advice

Verdikt is an independent, software-driven research platform that aggregates publicly available data from sources including Screener, BSE/NSE filings, news outlets, earnings call transcripts, and annual reports, and applies artificial-intelligence models to generate structured opinions, scores, and commentary about listed Indian equities.

Verdikt is not registered with the Securities and Exchange Board of India (SEBI) as an Investment Adviser, Research Analyst, Portfolio Manager, Stock Broker, Sub-Broker, Merchant Banker, or in any other capacity. We do not provide personalised investment advice, financial planning, portfolio management, brokerage, or any service that requires registration under the SEBI (Investment Advisers) Regulations, 2013, the SEBI (Research Analysts) Regulations, 2014, or any other applicable law.

The verdicts, conviction scores, “buy zones”, sentiment flags, and all other output produced by the Service are general informational and educational material only, based on assumptions and methodologies that may be incomplete or incorrect. They do not take into account your personal financial situation, objectives, risk tolerance, tax position, or any other individual circumstance, and they must not be relied upon as a basis for any investment, trading, or financial decision. You must consult a SEBI-registered investment adviser, a chartered accountant, or other qualified professional before acting on any information you obtain from the Service.

2. AI-generated content

The Service uses large language models and other automated systems to produce its output. AI systems are probabilistic and can produce results that are inaccurate, incomplete, outdated, biased, misleading, or entirely fabricated (commonly known as “hallucinations”). Source data may also be wrong, stale, or sourced from third parties whose own data is wrong or stale. We do not verify and cannot guarantee the accuracy, completeness, currency, or fitness for any purpose of any output. You agree to independently verify any information before relying on it.

3. Eligibility & accounts

  • You must be at least eighteen (18) years of age and legally capable of entering into a binding contract under the Indian Contract Act, 1872. If you are accessing the Service from outside India, you must also be of legal age in your jurisdiction.
  • You must provide accurate, current, and complete information when registering, and keep it updated.
  • You are responsible for all activity that occurs under your account, for keeping your credentials secure, and for any losses arising from unauthorised access. Notify us promptly at founder@verdiktresearch.com on suspected compromise.
  • We may refuse, suspend, or terminate any account at our sole discretion, with or without notice and without liability, including where we suspect misuse, fraud, abuse, breach of these Terms, or risk to the Service.

4. Subscriptions, billing & auto-renewal

Certain features of the Service are made available on a paid subscription basis. Current pricing is published on the pricing page and may be updated from time to time. By initiating a subscription, you authorise us and our payment processor (Razorpay) to charge your chosen payment method on a recurring basis at the then-applicable rate, including any applicable taxes, until you cancel.

  • Auto-renewal. Subscriptions automatically renew at the end of each billing cycle (monthly or annual, as selected) unless cancelled before the renewal date.
  • Cancellation. You may cancel at any time from your account or by writing to founder@verdiktresearch.com. Cancellation takes effect at the end of the then-current paid period.
  • Refunds. Refunds are governed by our Refund Policy.
  • Taxes. Prices may be exclusive of GST or other applicable taxes, which will be added at checkout where required by law.
  • Price changes. We may change prices for future billing cycles by notice (including by email or on the Service). Continued use after the effective date constitutes acceptance.

5. Free tier & usage limits

We may offer a free tier or trial with limited usage allowances. We reserve the right to modify, suspend, or terminate any free tier at any time, including by imposing additional quotas or removing features, without compensation.

6. Acceptable use

You agree not to, and not to permit any third party to:

  • scrape, crawl, harvest, or systematically download any part of the Service or its output, except through interfaces we expressly authorise;
  • resell, sublicense, redistribute, republish, or display Service output to any third party, except for your own personal, non-commercial use, or share account credentials;
  • use the Service to train, fine-tune, evaluate, or build any machine-learning or AI model, dataset, derivative, or competing product;
  • reverse-engineer, decompile, disassemble, or attempt to derive source code, models, prompts, or proprietary methods underlying the Service;
  • interfere with, disrupt, probe, or test the security or integrity of the Service, attempt to gain unauthorised access, or circumvent rate limits, paywalls, or quotas;
  • use the Service for any unlawful, fraudulent, manipulative, or abusive purpose, including market manipulation, insider trading, front-running, pump-and-dump schemes, or violation of securities laws;
  • upload or transmit malware, viruses, harmful code, or any content that infringes intellectual-property rights, is defamatory, obscene, or otherwise unlawful;
  • represent or imply that Verdikt has endorsed or recommended any security, transaction, or financial product to you or any third party.

7. Intellectual property

All software, source code, designs, text, graphics, models, prompts, methodologies, scoring frameworks, compilations, and other content that constitute the Service are owned by us or our licensors and are protected by the Copyright Act, 1957, the Trade Marks Act, 1999, and other applicable Indian and international laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your personal, non-commercial research purposes during the term of these Terms. No other rights are granted. “Verdikt” and any associated marks are our trademarks.

8. User content & feedback

If you submit any content (queries, notes, ratings, comments, feedback, or other materials) to the Service, you grant us a worldwide, perpetual, irrevocable, royalty-free, sublicensable, transferable licence to use, copy, store, modify, process, transmit, and create derivative works of such content for the purpose of operating, improving, and promoting the Service. You represent that you have all rights necessary to grant this licence.

9. Third-party data & services

The Service relies on third-party sources, including but not limited to Screener, BSE, NSE, Google, news publishers, and Anthropic (for model inference), and on third-party infrastructure providers including Supabase, Razorpay, Vercel, and PostHog. We do not control, endorse, or guarantee the accuracy of any third-party source, and we are not liable for any error, omission, downtime, delay, or loss arising from any third-party service. Your use of third-party services is governed by their own terms.

10. Disclaimers

The Service is provided on an “as is” and “as available” basis, with all faults, and to the maximum extent permitted by applicable law we disclaim all representations, warranties, conditions, and undertakings, whether express, implied, statutory, or otherwise, including any warranty of merchantability, fitness for a particular purpose, accuracy, completeness, timeliness, non-infringement, title, security, uninterrupted or error-free operation, or that any defect will be corrected.

Without limiting the foregoing, we make no representation or warranty that any output of the Service is accurate, complete, current, reliable, suitable, profitable, lawful, or appropriate for any decision you may make, including any investment, divestment, holding, trading, hedging, allocation, or tax decision.

11. Assumption of risk

Trading and investing in securities, including equities listed on NSE/BSE, derivatives, and other financial instruments, involves substantial risk of loss, including the loss of your entire principal, and is not suitable for every investor. Past performance of any security or methodology is not indicative of future results. You acknowledge and accept all such risk. You alone are responsible for your investment, trading, and financial decisions and for evaluating the merits and risks involved.

12. Limitation of liability

To the maximum extent permitted by applicable law, in no event will Verdikt, its proprietor, employees, contractors, agents, partners, licensors, or suppliers be liable to you or any third party for any:

  • indirect, incidental, special, consequential, exemplary, or punitive damages;
  • loss of profits, revenue, savings, business, goodwill, opportunity, data, or use; or
  • trading losses, investment losses, missed gains, opportunity cost, or losses caused by reliance on any output of the Service,

arising out of or in connection with these Terms or the Service, whether based on contract, tort (including negligence), statute, or any other legal theory, and whether or not we were advised of the possibility of such damages.

Our aggregate liability for all claims arising out of or in connection with these Terms or the Service, regardless of the form of action, shall not exceed the lesser of (a) the total amount actually paid by you to us in the three (3) months immediately preceding the event giving rise to liability, or (b) Indian Rupees Five Hundred (INR 500).

Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law.

13. Indemnity

You agree to defend, indemnify, and hold harmless Verdikt and its proprietor, employees, contractors, agents, partners, licensors, and suppliers from and against any and all claims, demands, actions, proceedings, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or related to (a) your use or misuse of the Service, (b) your breach of these Terms or any applicable law, (c) any investment, trading, tax, or financial decision you take in reliance on any output of the Service, or (d) your infringement of any third-party right.

14. Suspension & termination

We may suspend or terminate your access to the Service at any time, for any reason, including for breach of these Terms or where required by law. You may terminate by ceasing use and cancelling any subscription. Sections that by their nature should survive termination (including Sections 7–13, 15, and 16) will survive.

15. Governing law, jurisdiction & arbitration

These Terms and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them or their subject matter or formation shall be governed by and construed in accordance with the laws of India, without regard to conflict of laws principles.

Subject to the next paragraph, the courts at Delhi shall have exclusive jurisdiction over any matter arising out of or in connection with these Terms or the Service.

Any dispute, controversy, or claim arising out of or relating to these Terms, including their existence, validity, interpretation, performance, breach, or termination, may at our option be referred to and finally resolved by arbitration administered under the Arbitration and Conciliation Act, 1996, by a sole arbitrator appointed by us. The seat and venue of arbitration shall be Delhi, India, and the language shall be English. The award shall be final and binding. Notwithstanding the foregoing, either party may seek urgent injunctive or equitable relief from a court of competent jurisdiction.

16. General

  • Changes. We may update these Terms from time to time. Material changes will be notified by posting the updated Terms with a new effective date and, where appropriate, by email or in-Service notice. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
  • Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
  • Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force.
  • No waiver. Our failure to enforce any provision is not a waiver of that provision.
  • Force majeure. We are not liable for any failure or delay caused by events beyond our reasonable control, including acts of God, war, terrorism, civil unrest, pandemic, government action, internet or power outages, or third-party provider failures.
  • Entire agreement. These Terms, together with the Privacy Policy, Disclaimer, and Refund Policy, constitute the entire agreement between you and us with respect to the Service and supersede all prior agreements and understandings.
  • Notices. Notices to us must be sent to founder@verdiktresearch.com. We may give notice to you by email to the address on your account or by posting on the Service.
  • Language. These Terms are drafted in English, which is the controlling language.
